1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you ("merchant", "you") and StockUrgify ("we", "us") governing your installation and use of the StockUrgify Shopify app and related services (the "Service"). By installing or using the Service, you agree to these Terms and to our Privacy Policy and Data & GDPR terms. If you do not agree, do not install or use the Service.
2. The service
StockUrgify injects configurable low-stock urgency badges onto storefront product pages and tracks impressions and clicks so you can measure conversion lift. The Service also provides inventory alerts and analytics. Features available to you depend on your plan (Free, Pro, or Premium). We may add, change, or remove features over time.
3. Accounts & eligibility
You must have an active Shopify store and the authority to install apps on it. You are responsible for activity under your account and for keeping your store and Shopify credentials secure. You must be of legal age to enter into a contract in your jurisdiction.
4. Plans, billing & trials
- Billing. Paid plans are billed through Shopify's Billing API on a recurring basis (typically every 30 days) at the price shown at checkout. By approving the charge in Shopify, you authorize recurring billing until cancelled.
- Trials. Any free trial converts to a paid subscription at the end of the trial period unless you cancel or uninstall beforehand.
- Changes. We may change plan pricing or features with reasonable notice; changes take effect on your next billing cycle.
- Taxes. Fees are exclusive of taxes unless stated; Shopify handles applicable tax collection where required.
5. Cancellation & refunds
You may cancel at any time by downgrading your plan or uninstalling the app from your Shopify admin. Cancellation stops future charges; access to paid features ends at the close of the current billing period. Charges already incurred are generally non-refundable except where required by law. 6. Acceptable use
You agree not to:
- Use the Service to display false, deceptive, or misleading scarcity claims that violate consumer-protection laws.
- Reverse engineer, resell, or sublicense the Service except as permitted by law.
- Interfere with or disrupt the Service, circumvent plan limits, or attempt unauthorized access.
- Use the Service to violate Shopify's terms, applicable law, or the rights of others.
You are responsible for ensuring that urgency messaging shown on your storefront is accurate and compliant in your jurisdiction.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by StockUrgify and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service while your subscription is active. You retain all rights to your store data and content; you grant us the limited rights needed to operate the Service on your behalf.
8. Third-party services
The Service integrates with Shopify and optional channels such as Slack and Discord. Your use of those services is governed by their own terms. We are not responsible for third-party services or for changes they make that affect the Service.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will increase your sales or conversion rates.
10. Limitation of liability
To the maximum extent permitted by law, StockUrgify will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless StockUrgify from any claims, damages, or expenses arising from your use of the Service, your storefront content, or your violation of these Terms or applicable law.
12. Term & termination
These Terms apply while the app is installed. You may terminate by uninstalling. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision becomes impractical. On termination, your license ends and your data is handled as described in our Data & GDPR page.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which StockUrgify operates, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of that jurisdiction, unless mandatory local law provides otherwise.
14. Changes to these terms
We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, notify you in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.
